These rules should be carefully reviewed by all Sweepstakes entrants. Such persons are referred to herein as "Entrant," "prize winner," "you," "your," "winner".

1. Eligibility

Each contest or prize draw sponsored by the Promoter (each a "Sweepstakes") is open only to those who enter through the Sweatcoin App or by email as provided in these Terms and Conditions. Certain Sweepstakes may be designated by the Promoter as "Premium Super Draws." Eligibility to enter and win a Premium Super Draw is not limited to Premium Subscription holders; any person who meets the general eligibility requirements set out in this Clause 1 and the specific requirements of the applicable Premium Super Draw may enter by email in accordance with Clause 5, regardless of whether they hold a Premium Subscription. Additional conditions may apply to certain prize draws and in such case are expressly indicated for such prize draw. Generally, only one entry per person is permitted for each Sweepstakes and, if entering by email the particular Sweepstakes that the sender is seeking to enter must be clearly set forth in the email subject line (as described in Clause 5 herein). Our Sweepstakes are only open to legal residents of appropriate age as defined in the laws of the jurisdiction in which they reside and are void where prohibited by law. You cannot enter the Sweatcoin Rewards competitions if you reside in China, Russia or any jurisdiction in which the use of $Sweat (a type of cryptographic token issued by The Sweat Foundation Ltd), is restricted as per our terms and conditions (see https://sweateconomy.com/tnc). You cannot enter a Premium Super Draw if you reside in any of the foregoing jurisdictions or in Kenya, Ghana, Nigeria, or the Indian state of Tamil Nadu. US Residents of the states of New York and Florida are not eligible to participate in any Sweepstakes if the total approximate retail value ("ARV") of the prize exceeds $5000.00 USD; the ARV of the prize for each Sweepstakes can be found in the description of the respective Sweepstakes provided in the Sweatcoin App. Members of the Promoter Group's workforce (employees and contractors) and their immediate families (parent, child, sibling, or spouse) and/or household members and any other persons or entities associated with the Sweepstakes are not eligible to participate. For the purposes of this eligibility determination "Promoter Group" shall mean the Promoter, and its respective parent and subsidiary companies, affiliates, distributors, sales representatives, advertising and promotion agencies, and any other persons or entities involved in the development, production, implementation, administration, judging or fulfilment of the Sweepstakes.

2. Promoter

The promoter of all Sweepstakes is Sweatco Ltd, 9th Floor, 107 Cheapside, London, EC2V 6DN, United Kingdom (the "Promoter").

Partner

any person indicated as the Promoter's partner in the terms of a specific expressly indicated prize draw, when a purchase of certain goods or services of the Partner available for sale to you is a condition to participate in a prize draw.

Premium Super Draw: a Sweepstakes designated by the Promoter as a "Premium Super Draw," "Premium Exclusive," or similar designation in the Sweatcoin App. In-app entry to a Premium Super Draw requires an active Premium subscription. Premium Subscribers receive the number of entries per Premium Super Draw specified in the applicable draw description in the Sweatcoin App. Entry by email to a Premium Super Draw is free and open to all eligible persons in accordance with Clause 5; email entrants receive one (1) entry per Premium Super Draw. Each individual entry carries an equal probability of selection regardless of entry method.

Premium Subscription: the Promoter's paid subscription tier within the Sweatcoin App, as described on the Sweatcoin App and subject to separate subscription terms.

3. Agreement to Rules

By participating in any Sweepstakes, you agree to be fully and unconditionally bound by these Terms and Conditions, as well as the General Terms& Conditions (https://sweatco.in/tnc), our Privacy Policy (https://sweatco.in/privacy), and any rules specific to a particular Sweepstakes (collectively, the "Rules"), and you represent and warrant that you meet the eligibility requirements set forth herein and as stipulated for each particular Sweepstakes that you enter. The Promoter reserves the right to require you to provide proof that you are eligible to enter. You also agree to accept the decisions of the Promoter as final and binding as such relate to the content and application of the Rules. The Sweepstakes are subject to all applicable federal, state and local laws and regulations ("Applicable Laws") and by entering a Sweepstakes you acknowledge and agree that you will comply with all Applicable Laws and, should you be awarded a prize, that you will not use or deal with any prize in a manner inconsistent with Applicable Laws.

4. Sweepstakes Period

Each Sweepstakes begins and ends on the dates set forth in its particular description published in the Sweatcoin App. All entries begin at 12:00 am UTC on the start date and must be received no later than 11:59 pm UTC on the end date specified for each respective Sweepstakes (the "Sweepstakes Period"). All entries received after such time on the end date for a particular Sweepstakes shall be disqualified.

5. How to Enter

Our Sweepstakes are intended to support Sweatcoin in furthering its mission to promote physical activity.

Entry into all Sweepstakes is available to everyone who meets the additional Sweepstakes entry requirements stipulated for a particular prize draw, which may include an opt-in fee of a specified amount of sweatcoins (or in certain cases as provided for above herein a purchase of the Partner's goods or services, and you shall be eligible for the purchase under the applicable Laws and the internal policies of the Partner as well).

For Premium Super Draws specifically, in-app entry requires an active Premium Subscription at the time of entry; we also permit free entries by email. Free entry by email is available only for Premium Super Draws. No purchase, subscription, or payment of any kind is required to enter by email. To enter by email, send an email to [email protected] with the subject line containing the name of the specific Sweepstakes or Premium Super Draw you choose to enter. The content of the email body does not need to include any specific information. Upon receipt of your email, an automated reply will be sent to you containing a link to a short entry confirmation form. To complete your entry, you must submit the form by providing your Sweatcoin username and the email address from which you sent your original email. An entry is valid only upon successful submission of the completed form. If the form is not completed and submitted, no entry will be recorded and you will not be eligible to participate in that Sweepstakes. Email entries must be received no later than 11:59 pm UTC on the end date specified for the applicable Sweepstakes, and the entry confirmation form must be submitted before the same deadline. Email entrants receive one (1) entry per Sweepstakes.

A separate email is required for each Sweepstakes a person is seeking to enter. There is a limit of one (1) entry per email. Each email is considered one (1) entry into a Sweepstakes. Emails listing multiple Sweepstakes, multiple entries submitted for any particular Sweepstakes, or completed by anyone other than the Entrant are void. Email entries must contain all entry fields outlined above; otherwise, they are void and will not be eligible to win.

Regardless of the entry method used to enter a Premium Super Draw, there is a limit of one (1) entry per Entrant per Premium Super Draw, except that Premium Subscribers may receive multiple entries for Premium Super Draws. Any attempt by an Entrant to obtain more than one entry by using multiple/different identities, multiple email addresses, and/or other methods will void the Entrant's entry and that Entrant may be disqualified from the Sweepstakes. Entries submitted by anyone other than the Entrant are void. In case of a dispute as to the identity of any Entrant, entry will be declared made by the registered name and address on such entry. Any potential prize winner may be requested to provide the Promoter with proof that such person is the prize winner. Neither Promoter nor any member of the Promoter Group is responsible for any entry that is lost, late, incomplete, invalid, unintelligible, misdirected or undeliverable, whether due to system errors, omissions, interruption, deletions, defects, delay in operations or transmissions, theft or destruction or failures, faulty transmissions or other telecommunications malfunctions, human error, entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, faulty transmissions, technical malfunctions or otherwise. Only fully completed entries are eligible. Proof of submission will not be deemed to be proof of receipt by Promoter or Promoter Group. Sweatco Ltd. reserves the right to disqualify you if your conduct is contrary to the spirit or intention of a Sweepstakes.

6. Prizes

For each respective Sweepstakes, the winner(s) will receive the prize(s) set forth in such Sweepstake's description provided in the Sweatcoin app. Actual/appraised value may differ at time of prize award. The specifics of the prize shall be solely determined by the Promoter. No cash or other prize substitution is permitted except at the Promoter's discretion. The prize is non-transferable. Any and all prize related costs and expenses related to claiming or using the prize, including without limitation travel expenses and any and all federal, state, and/or local taxes shall be the sole responsibility of the winner. For US residents, the Promoter must report the value of the prize to the United States Internal Revenue Service ("IRS") in the year the prize is received by the winner. Such information will be reported to the winner and the IRS using a Form 1099. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by winners is permitted. The Promoter is not liable if the winner is unable to collect any prize or use such prize as required by any Sweepstake's respective specific rules. In addition, the Promoter shall not be responsible and shall have no liability for any delay in or roadblock to delivery resulting from local law or regulation in the prize winner's jurisdiction. Likewise, the Promoter makes no representations or warranties and is not liable for any accuracy as to the nature, description, quality, suitability, or functionality of any prize (such issues should be raised with the manufacturer). Any pictures depicting the prize in any media are indicative only and the actual prize may vary from the depiction (e.g., color). The offering and award of a prize does not constitute an endorsement or recommendation of such prize by the Promoter. By entering a Sweepstakes, you acknowledge and agree that the Promoter may not be able to offer and deliver a prize for any reason due to circumstances beyond its reasonable control as determined by the Promoter in its reasonable opinion. In the event that the Promoter is unable to offer and deliver a prize as contemplated in the previous sentence, the Promoter may replace such prize with an alternative prize of equal or greater value to be decided in the sole and absolute discretion of the Promoter. Such alternative prizes may include, but shall not be limited to Cash, all as permitted by applicable law and subject to any verification or regulatory checks that the Promoter considers necessary or prudent; or For each Sweepstakes, unless otherwise prohibited, the winner's name can be obtained by sending an email inquiry to [email protected] within six (6) months of the end date of such Sweepstakes.

7. Odds

The odds of winning any particular Sweepstakes including any Premium Super Draw, depend on the total number of eligible entries received for that Sweepstakes. Each individual entry, whether submitted through the Sweatcoin App or by email, carries an equal chance of being selected as the winning entry. Premium Subscribers may receive multiple entries for Premium Super Draws as described in Clause 5. The number of entries does not alter the per-entry probability of selection; however, holding more entries increases the overall likelihood of winning proportionally.

8. Winner selection and notification

Winners of the Sweepstakes will be selected in a random drawing under the supervision of the Promoter by means of a computer algorithm. For the avoidance of doubt, all entries for all Sweepstakes, including Premium Super Draws, are included in the same random drawing pool. The algorithm selects winning entries at random and does not differentiate between entries based on entry method. Each entry has an identical probability of selection. Promoters's determinations as to the administration and operation of any Sweepstakes and the selection of the potential winner is final and binding in all matters related to such Sweepstakes. Winners will be notified by the Promoter using the contact details provided at entry within two (2) weeks following the winner selection. Promoter shall have no liability for a winner's failure to receive notices due to winners' spam, junk e-mail or other security settings or for winners' provision of incorrect or otherwise non-functioning contact information. Winners may be required to provide their full mailing address, phone number, and proof of identity and eligibility before any prize is delivered. Pursuant to the satisfaction of all requirements, the potential winner may also be sent a declaration of eligibility/liability/publicity release ("Release"). Unless restricted by law, the potential winner will be required to complete and return the Release within five (5) days from the date of request therefor. An alternative potential winner may be chosen from among the remaining eligible entries if the potential winner fails to provide all necessary documentation pursuant to these Terms and Conditions or cannot accept or receive the prize within a reasonable period of time for any reason, or is otherwise disqualified for any reason. The receipt by the winner of the prize offered in this Sweepstakes is conditioned upon compliance with any and all applicable federal, state and local laws and regulations. ANY VIOLATION OF THESE RULES, GENERAL TERMS AND CONDITIONS, AS WELL AS PRIVACY POLICY PRINCIPLES (AT PROMOTER'S SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS WINNER OF THE SWEEPSTAKES AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED. Prizes will be fulfilled as soon as reasonably practicable after the conclusion of the Sweepstakes.

9. Rights Granted by you

By entering this Sweepstakes you understand that the Promoter, anyone acting on behalf of the Promoter, or its respective licensees, successors and assigns will have the right, where permitted by law, without any further notice, review or consent to print, publish, broadcast, distribute, and use, worldwide in any media now known or hereafter in perpetuity and throughout the World, your entry, including, without limitation, the entry and winner's name, portrait, picture, voice, likeness, image, or statements about the Sweepstakes, and biographical information as news, publicity or information and for trade, advertising, public relations and promotional purposes without any further compensation. In addition, Entrants featured in any of Promoter's on-air presentations will be required to sign any agreements and releases designed by Promoter with respect to their services and performances. The rights include on-location or studio-based on-air camera appearances, footage created when the winner is contacted, when the prize is presented, and any photographs, videos, or other materials provided by the winner to the Promoter.

10. Terms

Promoter reserves the right, in its sole discretion to cancel, terminate, modify or suspend any Sweepstakes should (in its sole discretion) a virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of a Sweepstakes. In such a case, Promoter may select the recipients from all eligible entries received prior to and/or after (if appropriate) the action taken by Promoter. Promoter reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Sweepstakes or violates these Terms and Conditions. Promoter has the right, in its sole discretion, to maintain the integrity of the Sweepstakes, to void entries for any reason, including, but not limited to; multiple entries to a single Sweepstakes from the same user; or the use of bots, macros or scripts or other technical means for entering. Any attempt by an Entrant to deliberately damage the Sweatcoin App or undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil laws and, should such an attempt be made, Promoter reserves the right to seek damages from any such person to the fullest extent permitted by law. By entering the Sweepstakes you agree to receive communications periodically from the Promoter. You can opt-out of receiving such communication at any time by clicking the unsubscribe link therein.

11. Limitation of Liability

By participating in any Sweepstakes and any promotional activity related thereto, except as limited by applicable law, Entrants and prize winners agree to release, discharge, indemnify and hold harmless the Promoter and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, attorneys, successors, assigns, employees, officers and directors from and against any claims made by any entrant, prize winner or any other third parties, related in any way to the operation of any Sweepstakes (or if applicable purchase of any goods or services of a Partner) as well as any liability, illness, injury, death, loss, litigation, claim or damage that may occur in whole or in part, directly or indirectly, whether caused by negligence or not, from (i) such entrant's participation in any Sweepstakes and/or his/her acceptance, possession, use, or misuse (including travel or activity related thereto) of any prize or any portion thereof, or when applicable, purchase of any goods or services from a Partner (ii) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (iii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iv) unauthorized human intervention in any part of the entry process or any Sweepstakes; (v) electronic or human error which may occur in the administration of any Sweepstakes or the processing of entries. The releases hereunder are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of laws requiring the intent to release future unknown claims. The Promoter shall not be liable for any failure to comply with its obligations where the failure is caused by something outside its reasonable control. Such circumstances shall include, but not be limited to, weather conditions, fire, flood, hurricane, strike, industrial dispute, war, hostilities, political unrest, riots, civil commotion, inevitable accidents, epidemic or pandemic and supervening legislation or government or regulatory requirements. Your statutory rights are not affected by this limitation of liability section.

12. Disputes

THIS SWEEPSTAKES IS GOVERNED BY THE LAWS OF ENGLAND AND WALES WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in any Sweepstakes, Entrants and prize winners agree that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with such Sweepstakes, shall be resolved individually, without resort to any form of class action, exclusively before a court located in London, England, having jurisdiction. Further, in any such dispute, under no circumstances will any Entrant or prize winner be permitted to obtain awards for, and each hereby waives all rights to claim punitive, incidental, or consequential damages, including reasonable attorneys' fees, other than any of their actual out-of-pocket expenses (i.e. costs associated with entering any Sweepstakes), and each further waives all rights to have damages multiplied or increased.

13. Use of Data; Privacy Policy

The Promoter may verify all entries including but not limited to asking for address and identity details, and voiding any prize awards where the requested information is not provided. If you object to any or all of your name, city, country and winning entry being published or otherwise made available, please contact the Promoter at [email protected]. Notwithstanding your objection, the Promoter may be required to provide the information and winning entry to the UK Advertising Standards Authority or any other regulatory body upon request. Any personal identifiable information collected during participation in any Sweepstakes will be collected by Promoter and its respective affiliates, agents and marketers for purposes of the proper administration and fulfillment of any Sweepstakes as described in these Terms and Conditions. In addition, by entering, you agree to Promoter's use of your personal information as described in Promoter's privacy policy found https://sweatco.in/privacy.

14. Application; Amendment and/or Modification of the Rules

These Terms and Conditions prevail in the event of any conflict or inconsistency with any other communications, including any advertisements or promotional materials about any Sweepstakes. These Terms and Conditions cannot be modified or amended in any way except in a written document issued in accordance with law by the Promoter. In the event the Promoter makes changes to these rules, those changes will not affect any ongoing Sweepstakes and will take effect only for Sweepstakes commenced after the date that the revised rules become effective. The invalidity or unenforceability of any provision of these Terms and Conditions shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Terms and Conditions shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

15. Non-Affiliation Statement

Sweepstakes are in no way sponsored, endorsed or administered by, or associated with Apple, Facebook, Twitter, Instagram, Snapchat, Youtube, Pinterest, LinkedIn or Google. You understand that you are providing your information to the Promoter and not to Apple, Facebook, Twitter, Instagram, Snapchat, Youtube, Pinterest, LinkedIn or Google. Apple is not involved in any way with the contest or sweepstakes. Google Play is not involved in any way with the contest or sweepstakes.

CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF ANY SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, PROMOTER RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY'S FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT OF THE LAW INCLUDING CRIMINAL PROSECUTION. PROMOTER'S FAILURE TO ENFORCE ANY TERM OF THESE TERMS AND CONDITIONS SHALL NOT CONSTITUTE A WAIVER OF THESE PROVISIONS.
